Terms of Service

tl;dr Use the site responsibly. If you hire us, the engagement is governed by a written scope doc that overrides any conflict with these terms. We own our marks and content; you own yours; deliverables transfer to you on full payment. Disputes go to Wyoming courts. We can update these terms — material changes get an email.

These Terms of Service ("Terms") govern your use of sikhaygroup.com and any services provided by Sikhay LLC, a Wyoming, USA limited liability company, including its operating brands Sikhay Group, Sikhay .io, and Sikhay Direct (collectively, "Sikhay," "we," or "us"). By using the site or engaging us for work, you agree to these Terms.

1. Description of services

Sikhay LLC provides:

  • Sikhay .io — custom software development (landing pages, marketing sites, web app MVPs, internal tools, API and automation work, brand and design systems, monthly care plans).
  • Sikhay Direct — physical and digital goods (forthcoming; this section will expand when products launch).
  • Sikhay Group — the parent brand, including the journal, brand kit, and waitlist communications on this site.

2. Discovery calls

Sikhay .io discovery calls are free, 30 minutes, and non-binding. Booking one creates no obligation on either side. The call exists so we can both decide whether the engagement is a good fit.

3. Engagement terms

Paid engagements with Sikhay .io are governed by a signed scope document for each project. The scope doc covers price, deliverables, timeline, payment schedule, IP terms, and any project-specific exceptions.

Where these Terms and a signed scope doc conflict, the scope doc controls for that engagement.

Default payment terms

  • 50% deposit on signature; 50% on delivery, unless the scope doc says otherwise.
  • Invoices issued via Stripe; net 7 days from invoice date.
  • Late payment: 1.5% / month on outstanding balance after 14 days, or the maximum allowed by Wyoming law, whichever is less.
  • Refunds follow our Refund Policy.

Default IP terms

  • You retain ownership of any pre-existing materials you provide to us.
  • Deliverables created during the engagement transfer to you on full payment.
  • We retain ownership of our pre-existing tools, libraries, and the Sikhay brand system.
  • We may show the work in our portfolio and case studies unless the scope doc includes an NDA.

4. Acceptable use of the site

You agree not to:

  • Use the site for any illegal purpose.
  • Attempt to bypass security, scrape at unreasonable rates, or interfere with service.
  • Submit content that infringes anyone's IP, harasses, or defrauds.
  • Use the site to send spam or malware.

5. Our intellectual property

The Sikhay name, wordmark, monogram, design system, journal entries, and site copy are owned by Sikhay LLC. The brand kit at sikhaygroup.com/branding is free to use for press and partner contexts with the brand intact — see that page for usage rules.

6. Warranties and disclaimers

We provide services with care and according to industry standards. Beyond the explicit warranties in a signed scope doc:

  • The site and all services are provided "as is".
  • We don't guarantee the site is uninterrupted or error-free.
  • We don't guarantee specific business outcomes from engagements.

7. Limitation of liability

To the fullest extent permitted by law, Sikhay's total liability for any claim arising from these Terms or any engagement is capped at the total fees you paid us in the 12 months preceding the claim. We are not liable for indirect, incidental, consequential, or punitive damages.

8. Indemnification

Mutual: you indemnify us against claims arising from materials you provide; we indemnify you against claims that our deliverables infringe third-party IP, subject to the cap in Section 7.

9. Termination

  • Site terms end when you stop using the site.
  • Engagements end per the cancellation terms in the signed scope doc, or per our Cancellation Policy if the scope doc is silent.
  • Sections 5–10 survive termination.

10. Governing law and disputes

These Terms are governed by the laws of the State of Wyoming, USA, without regard to conflict-of-law principles. Disputes arising from these Terms or any engagement will be resolved in the state or federal courts located in Wyoming, or by mutual written agreement to binding arbitration.

11. Changes

We may update these Terms. Material changes are announced by email to the address on file (for engaged clients) or by an updated "Effective" date here (for site visitors). Continued use after changes means you accept the updates.
